This page explains the terms by which you use our service. By accessing or using the BaniTech services, website and software provided through or in connection with the service (hereinafter "WriteCliques" or "Service"), you signify that you have read, understood, and agree to be bound by this Terms of Use Agreement ("Agreement"), whether or not you are a registered user of our Service.
We reserve the right to amend this Agreement at any time and without notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms of Use. BANITECH AB RESERVES THE RIGHT TO MODIFY, SUSPEND, DISCONTINUE, SELL, OR REPLACE WRITECLIQUES AT ANY TIME, WITHOUT NOTICE, AND IN ITS SOLE DISCRETION. BANITECH AB FURTHER RESERVES THE RIGHT TO MODIFY, SUSPEND, DISCONTINUE, AMEND, OR REPLACE THIS AGREEMENT AT ANY TIME, WITHOUT NOTICE, AND IN ITS SOLE DISCRETION. YOUR USE OF THE WEBSITE AFTER A MODIFICATION, AMENDMENT, OR REPLACEMENT OF THIS AGREEMENT CONSTITUTES YOUR MANIFESTATION OF INTENT TO SAID MODIFICATION, AMENDMENT, OR REPLACEMENT.
WriteCliques is a social network for aspiring writers with an integrated authoring tool and provides a place for you to collaborate and create stories with a community of like minded friends.
You may never use another Member’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify WriteCliques immediately of any breach of security or unauthorized use of your account. Although BaniTech will not be liable for your losses caused by any unauthorized use of your account, you shall be liable for the losses of BaniTech or others due to such unauthorized use.
Subject to the terms and conditions of this agreement, BaniTech grants you permission to use WriteCliques for your personal, non-commercial purposes only. You agree not to engage in any of the prohibited activities listed in this agreement under “Prohibited Activities section.
BaniTech may permanently or temporarily terminate, suspend, or otherwise refuse to permit your access to WriteCliques without notice and liability for any reason, including if in BaniTech’s sole determination you violate any provision of this Agreement, or for no reason. Upon termination for any reason or no reason, you continue to be bound by this Agreement.
WriteCliques is subject to scheduled and unscheduled service interruptions. All aspects of WriteCliques are subject to change or elimination at BaniTech’s sole discretion. BaniTech reserves the right to interrupt WriteCliques with or without prior notice for any reason or no reason. You agree that BaniTech will not be liable to you for any interruption of WriteCliques, delay or failure to perform.
You are solely responsible for your interactions with other WriteCliques’ users. We reserve the right, but have no obligation, to monitor disputes between you and other Users. BaniTech shall have no liability for your interactions with other users, or for any user’s action or inaction.
BaniTech AB may provide you with the ability to register a member account, which may provide you with access to additional areas and features of WriteCliques that are not accessible to non-members (hereinafter “Member Account”). Your Member Account is protected by a username and password. You acknowledge that you are solely responsible for maintaining the security and confidentiality of your username and password and for any access to your Member Account, whether authorized or unauthorized. In the event your Member Account is accessed without your authorization, you agree to immediately provide notice to WriteCliques.
You have a duty to ensure that the information that you provide through your Member Account is truthful, current, complete, and accurate. You understand and agree that you have an ongoing duty to update and keep current the information provided through your Member Account if and when that information changes. You are expressly prohibited from creating a Member Account that impersonates another person, contains offensive or obscene language, or otherwise violates the rights of a third party. You expressly agree that you will not use your Member Account to interfere with or disrupt a third party’s use of WriteCliques. BaniTech AB reserves the right to restrict access to, suspend, disable, or delete your Member Account at any time, in its sole discretion, and without prior warning. You are expressly prohibited from selling, leasing, lending, assigning, or otherwise transferring your Member Account.
By creating a Member Account, you expressly agree that BaniTech AB may contact you by any available means, including but not limited to by email.
BaniTech AB allows you to create user generated content through or to upload user generated content to WriteCliques, including but not limited to photographs, videos, sound files, profile information, text, and biographical information (hereinafter “User Generated Content”). BaniTech AB does not claim any ownership rights in your User Generated Content and, should you submit User Generated Content to the Website, you retain ownership of your User Generated Content subject to the non-exclusive license granted to BaniTech AB herein. You hereby provide BaniTech AB with a non-exclusive, irrevocable, sublicensable, worldwide, perpetual, and royalty-free license to reproduce, prepare derivative works of, distribute copies of, perform publicly, and display publicly any and all User Generated Content that you submit to WriteCliques in any form and for any and all purposes of BaniTech AB choosing.
You represent and warrant that you own any and all User Generated Content that you create through or upload to WriteCliques, that your User Generated Content will not violate the rights of third parties, including but not limited to privacy rights, publicity rights, intellectual property rights, or other proprietary rights, that your User Generated Content will fully comply with the terms of this Agreement, and that your User Generated Content does not violate any applicable law or regulation anywhere in the world.
You hereby provide BaniTech AB with a non-exclusive, irrevocable, sublicensable, worldwide, perpetual, and royalty-free license to reproduce, prepare derivative works of, distribute copies of, perform publicly, and display publicly any and all User Generated Content that you submit to WriteCliques in any form and for any and all purposes of BaniTech AB choosing.
This Agreement will remain in full force and effect until otherwise terminated pursuant to the terms of this Agreement. BaniTech AB reserves the right to remove, edit, deny, restrict, reject, or refuse any User Generated Content submitted by you.
You expressly agree to defend, indemnify, and hold harmless BaniTech AB, its subsidiaries, partners, affiliates, directors, officers, employees, shareholders, managers, vendors, independent contractors, agents, successors, and assigns, from and against any and all claims, costs (including attorneys’ fees), damages, liabilities, judgments, and expenses of any kind arising out of or related to (1) your use or misuse of the Website; (2) your breach of any term or condition of this Agreement, (3) your violation of any applicable law, regulation, statute, treaty, or ordinance, or (4) your violation of the rights of a third party. BaniTech AB retains the right to exclusively control and direct its defence of any claim, cost, damage, liability, judgment, or expense subject to indemnification. Your duty to defend, indemnify, and hold harmless BaniTech AB will survive the expiration, termination, or failure of this Agreement.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, BANITECH AB, ITS SUBSIDIARIES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD.
BANITECH AB DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE BANITECH AB SERVICE OR ANY HYPERLINKED WEBSITE OR SERVICE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND BANITECH AB WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BANITECH AB, ITS AFFILIATES, DIRECTORS, EMPLOYEES OR ITS LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL BANITECH AB BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BANITECH AB ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY; (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (VII) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. IN NO EVENT SHALL BANITECH AB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO BANITECH AB HEREUNDER.
THIS LIMITATION OF LIABILITY SECTION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF BANITECH AB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
The Service is controlled and operated from its facilities in Sweden. BaniTech AB makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are entirely responsible for compliance with local law, including but not limited to export and import regulations. Unless otherwise explicitly stated, all materials found on the Service are solely directed to individuals, companies, or other entities located in Sweden.
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by BaniTech AB without restriction.
You are expressly prohibited, through your use of WriteCliques, from violating any law, statute, ordinance, regulation, or treaty, from violating the rights of a third party, and from using WriteCliques outside of its customary and intended uses. More specifically (but without limitation), you are expressly prohibited from:
A finding that any term or provision of this Agreement is invalid or unenforceable will not affect the validity or enforceability of this Agreement. Any term or provision of this Agreement that is found to be invalid or unenforceable will be reformed to the extent necessary to make it valid and enforceable.
You understand and agree that no term or provision of this Agreement will be deemed to have been waived and no breach will be deemed to have been consented to unless said waiver or consent is in writing and signed by the party to be charged.
This Agreement and the Privacy Policy incorporated by reference constitute the entire agreement between you and BaniTech AB with respect to WriteCliques. You understand and agree that there are no further understandings, agreements, or representations with respect to WriteCliques that are not specified in this Agreement. You understand and agree that any additional provisions that may appear in any communication from you will not bind BaniTech AB.
WriteCliques is not directed to persons under the age of thirteen (13) and WriteCliques will not knowingly collect personally identifiable information from children under the age of thirteen (13).
